Terms of Service

These Terms of Service (“Terms”) govern access to and use of LyceumX, a product of LYCEUMX INC, headquartered in Pittsfield, Massachusetts (“LyceumX,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

LyceumX provides AI-assisted tools that help organizations document R&D activity for tax credit purposes and generate forward-looking innovation insights. The Service is provided on an “as is” basis and may be updated, modified, or discontinued at our discretion.

2. Not Tax or Legal Advice

Output generated by LyceumX, including interview summaries, evaluations, claim narratives, and calculations, is intended to assist your internal process and is not tax, legal, or accounting advice. Claim packages should be reviewed by a qualified tax professional or expert reviewer prior to submission to any taxing authority. You remain solely responsible for the accuracy and completeness of any filing.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload content you do not have the right to submit; (c) attempt to reverse engineer, disrupt, or gain unauthorized access to the Service; or (d) misrepresent your identity or affiliation.

5. Customer Content

You retain ownership of the documents, transcripts, and other materials you submit to the Service (“Customer Content”). You grant us a limited license to process Customer Content solely to provide and improve the Service. We will treat Customer Content as confidential and will not use it to train models shared with other customers without your consent, except as described in our Privacy Policy.

6. Intellectual Property

The Service, including its software, design, and underlying technology, is owned by LyceumX and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.

7. Fees

Fees, if applicable, will be set out in an order form or separate written agreement between you and LyceumX. Except as otherwise agreed in writing, fees are non-refundable.

8. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY DOCUMENTATION GENERATED BY THE SERVICE WILL BE ACCEPTED BY ANY TAXING AUTHORITY.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LYCEUMX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LYCEUMX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold LyceumX harmless from claims arising out of your misuse of the Service or violation of these Terms.

11. Termination

We may suspend or terminate access to the Service for violation of these Terms or as reasonably necessary to protect the Service or other users. You may stop using the Service at any time.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and each party consents to the personal jurisdiction of such courts.

13. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
